Terms of Service — SnapAudit

Inline placeholders the lawyer must fill:

- Consumer-protection carve-outs for EU/UK residents (B2C sales to natural persons trigger stronger cancellation/refund rights).
- Whether Stripe merchant-of-record handles EU VAT collection (affects the pricing-page VAT disclosure).
- Export-control / sanctions clauses if any target market restricts AI-service exports to it (e.g. to sanctioned countries).
- Cap on aggregate liability — three-month Credit-purchase cap is a starting proposal, counsel to confirm enforceable in [JURISDICTION].
- Arbitration clause vs. court forum — US customers typically expect arbitration; EU customers typically cannot be forced into it.
1. Definitions
- Provider — [COMPANY_NAME], a company registered in [JURISDICTION], address [ADDRESS].
- Customer — the natural or legal person who has accepted these Terms in the manner described in Section 2.
- Service — the SnapAudit software service hosted at https://getsnapaudit.com/, providing AI-assisted inspection of workplace-compliance photographs against reference images.
- Inspection — a single submission of a photograph to the Service and the corresponding result returned by the AI model.
- Credit — the internal unit of account deducted from the Customer's balance for each successful Inspection.
2. Acceptance
The Customer accepts these Terms by any of the following actions:
- Creating an account and checking the "I agree to the Terms" box at signup.
- Topping up the Credit balance.
- Continuing to use the Service after Terms have been updated.
Acceptance forms a binding agreement between the Customer and the Provider.
3. Scope of Service
The Provider grants the Customer a non-exclusive, non-transferable, revocable licence to use the Service for its own internal business purposes. The Service is delivered "as a service" (SaaS) from the Provider's infrastructure — no source code, executables, or hosting rights are granted.
4. Pricing and billing
- New accounts receive a trial Credit balance sufficient for an introductory number of Inspections. The exact trial amount is stated on the signup page at the time of registration.
- After the trial Credit is exhausted, further Inspections require the Customer to purchase Credit. Pricing is quoted per Inspection and published on the pricing page.
- Volume discounts are negotiated on a per-Customer basis via [email protected].
- Credit balances do not expire while the account remains active and in good standing, but are non-refundable except where required by applicable consumer-protection law.
5. Acceptable use
The Customer will not, and will not permit any third party to:
- Upload photographs depicting persons without those persons' consent, except where a lawful ground applies under the Customer's local data-protection law.
- Upload content that is unlawful, infringing, defamatory, or designed to test or bypass the AI's moderation.
- Attempt to reverse-engineer, extract prompts from, or replicate the Service's AI pipeline.
- Resell or sublicense Inspections to third parties without a written agreement with the Provider.
6. Data processing
The Customer remains the data controller for all content uploaded to the Service. The Provider acts as a data processor and handles uploaded photographs only as needed to return Inspection results, to provide analytics within the Customer's own account, and to investigate abuse. See the Privacy Policy for retention periods, sub-processors, and data-subject rights. A Data Processing Agreement is available on request for EU/UK customers.
7. Warranties and limitation of liability
The Service is provided "as is." AI inspection results are probabilistic — the Customer remains responsible for all compliance decisions and for reviewing flagged items before acting on them. To the maximum extent permitted by law, the Provider's aggregate liability for any claim arising out of these Terms is limited to the Credit balance purchased by the Customer in the three months preceding the claim. Nothing in this clause excludes liability that cannot be excluded under applicable law (e.g. death, personal injury, gross negligence, fraud).
8. Termination
Either party may terminate these Terms at any time on written notice. On termination the Provider will stop billing new Inspections and will delete the Customer's content within 30 days, except where longer retention is required by law. Unused Credit is non-refundable except where required by consumer-protection law.
9. Changes to these Terms
The Provider may update these Terms from time to time. Material changes will be announced at least 14 days before they take effect via email to the account holder. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
10. Governing law and disputes
These Terms are governed by the laws of [JURISDICTION]. Disputes arising out of or relating to these Terms will be resolved by the courts of [JURISDICTION], subject to any mandatory local consumer-protection forum.
